Bonjour Holdings Limited announced a completed capital reorganisation that took effect on 11 September 2026, materially altering its share structure and par value.

Key transaction mechanics • Every thirty issued and unissued ordinary shares of HK$0.01 each were consolidated into one consolidated share of HK$0.30. • Fractional consolidated shares arising from the process were cancelled. • Immediately after the consolidation, the par value of each issued consolidated share was reduced from HK$0.30 to HK$0.01, cancelling HK$0.29 of paid-up capital per share.

Resulting capital structure • Issued shares outstanding declined to 62.50 million from 1.87 billion, a reduction of 1.81 billion shares, equivalent to 96.67%. • No treasury shares existed before or after the transaction. • The company’s ordinary shares continue to trade on the Main Board of The Stock Exchange of Hong Kong under stock code 00653.

Regulatory compliance The board confirmed that the capital reorganisation complied with all applicable Hong Kong listing rules, corporate laws and regulatory requirements, and that all necessary filings and documentation have been completed.
