CaoCao Inc. (CaoCao) reported two capital-structure movements on 14 September 2026: a share repurchase on the Hong Kong Stock Exchange and a minor option-driven share issue.
CaoCao repurchased 170,000 ordinary shares on-market at prices ranging from HK$11.41 to HK$11.84, for a volume-weighted average cost of HK$11.69 per share. The aggregate consideration was HK$1.99 million. All repurchased shares have been retained as treasury stock, lifting the treasury balance to 6.01 million shares.
Concurrently, 3,656 new ordinary shares were issued upon the exercise of employee options granted under the company’s November 2022 Pre-IPO Share Incentive Plan. The exercise price was RMB 1.692 per share.
After these transactions, CaoCao’s outstanding share count (excluding treasury shares) declined slightly to 580.34 million, down 0.03% from the previous level. Total issued shares, including treasury holdings, stand unchanged at 586.35 million.
The buyback formed part of the repurchase mandate approved on 8 June 2026, which authorises the company to acquire up to 58.30 million shares. Cumulative repurchases under this mandate have reached 5.35 million shares, equivalent to 0.92% of the issued share base at the mandate date. In accordance with Hong Kong listing rules, CaoCao is subject to a 30-day moratorium—running through 14 October 2026—on issuing new shares or disposing of treasury shares following this repurchase.
