Richly Field Schedules Virtual AGM for 28 Aug 2026; Seeks 20% Issuance and 10% Buyback Mandates

Richly Field China Development Limited will convene its annual general meeting on 28 August 2026 at 11:00 a.m. via the Vistra eVoting Portal, marking the company’s first fully virtual shareholders’ meeting.

Key agenda items include:

1. Financial Statements • Shareholders will review the audited results for the fiscal year ended 31 March 2026.

2. Board Composition and Remuneration • Executive Directors Mr. Xia Chun Hui and Mr. Chen Wei are standing for re-election. • The board seeks authority to set directors’ remuneration.

3. Auditor Re-appointment • Rongcheng (Hong Kong) CPA Limited is nominated to continue as external auditor, with fees subject to board approval.

4. General Mandates • Share Issuance: Directors request authority to allot and issue new shares up to 20% of the company’s issued capital, excluding rights issues, employee share options, convertible securities exercises, and scrip dividends. • Share Repurchase: A separate mandate authorises on-market buybacks of up to 10% of issued shares. • Extension: The issuance mandate may be enlarged by the amount of shares repurchased under the buyback mandate, capped at an additional 10% of issued capital.

5. Book Closure and Voting Eligibility • The share register will close from 25 August 2026 to 28 August 2026, inclusive. Transfers must be lodged by 4:30 p.m. on 24 August 2026 to qualify for AGM participation. • Record date for voting rights is 28 August 2026.
