XH News Media Shareholders Endorse 40-for-1 Share Consolidation, Trading in Consolidated Shares Starts 24 June 2026

Hong Kong-listed XH News Media (the Company) secured shareholder approval for a 40-for-1 share consolidation at its extraordinary general meeting (EGM) on 22 June 2026. The ordinary resolution was carried by poll with 66.92% of the 1.25 billion votes cast in favour (837.30 million votes) and 33.08% (413.90 million votes) against.

A total of 2.08 billion shares were eligible to vote, with no shares subject to voting restrictions or compulsory abstention under the Listing Rules. Tricor Investor Services Limited served as the scrutineer.

Key Implementation Dates • Effective date of Share Consolidation: Wednesday, 24 June 2026 • Commencement of trading in consolidated shares: 9:00 a.m., 24 June 2026 • Last day for trading/settlement using existing blue certificates: 4:10 p.m., Friday, 31 July 2026 • New share certificates for consolidated shares will be grey.

Under the approved plan, every forty issued and unissued ordinary shares will be combined into one consolidated share. The board is authorised to carry out all necessary actions to implement the consolidation. Shareholders can refer to the 26 May 2026 circular for details on trading arrangements, board lot size changes, certificate exchange procedures and odd-lot matching services.

Eight directors attended the EGM in person or via electronic means, while two directors were absent due to other business commitments.
