Baidu, Inc. disclosed that its issued Class A ordinary share count stood unchanged at 2.21 billion as of 14 September 2026 despite continued share repurchases. The company bought back 556,900 shares on 14 September via on-market transactions at prices between HKD 89.35 and HKD 90.25, paying an aggregate HKD 50.00 million.
Including this latest tranche, Baidu has repurchased 3.31 million shares since receiving shareholder authorisation on 26 August 2026, representing 0.12 % of the 2.73 billion shares that may be acquired under the current mandate. All repurchased shares are intended for cancellation and have yet to be removed from the share register, leaving the outstanding share count temporarily unchanged.
Under Hong Kong Stock Exchange rules, Baidu is subject to a 30-day moratorium on issuing, selling or transferring shares following the 14 September transaction, extending through 14 October 2026.
The company affirmed that each buyback was executed in compliance with HKEX Listing Rules and the conditions of its previously filed Explanatory Statement dated 27 July 2026.
