EVEREST MED Calls 17 June 2026 Virtual EGM to Ratify Share Purchase Agreement

Everest Medicines Limited (EVERES​T MED) has issued a notice to convene an extraordinary general meeting at 9:30 a.m. on 17 June 2026. The meeting will be conducted exclusively online through the Computershare platform, allowing shareholders to attend, vote and submit questions remotely; physical attendance is not required and will not contribute to the quorum.

The sole agenda item is an ordinary resolution seeking shareholder approval, ratification and confirmation of a share purchase agreement signed on 7 April 2026 among the Seller, the Purchaser and the Target Company. If approved, any director will be authorised to execute related documents and perform actions necessary to implement the transaction, including the use of the Company’s common seal where applicable.

Key procedural details include: • Poll voting will be adopted for all resolutions; results will be published on the websites of Hong Kong Exchanges and Clearing Limited and the Company in accordance with the Listing Rules. • The proxy form, together with any relevant authority, must be deposited with Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting time. • The register of members will be closed from 12 June 2026 to 17 June 2026, both dates inclusive. Share transfers must be lodged by 4:30 p.m. on 11 June 2026 to qualify for voting rights. • Shareholders may submit written questions ahead of the meeting to ir@everestmedicines.com by 6:00 p.m. on 15 June 2026; questions can also be raised live during the event via the online platform. • Any treasury shares held in the Company’s name carry no voting rights at the EGM.
