Yuk Wing Group’s Independent Shareholders Approve Rights Issue; Board Confirms Authorised Representative Change

Yuk Wing Group Holdings Limited announced that the sole ordinary resolution at its Extraordinary General Meeting (EGM) on 14 September 2026 was passed with overwhelming support. Independent shareholders cast 63.47 million votes (99.53%) in favour of the proposal to proceed with the planned Rights Issue and related placing agreement, while 0.30 million votes (0.47%) were against.

The Rights Issue—set to expand the company’s issued share capital by more than 50%—required approval from independent shareholders under Hong Kong Listing Rule 7.19A. Controlling shareholder Colour Shine and its owner, Mr. He Xiaoming (holding 171.66 million shares, or 37.64% of total issued shares), abstained from voting as mandated by Rule 7.27A(1). Consequently, 284.34 million shares, representing 62.36% of the company’s 456.00 million issued shares, were eligible to vote at the meeting.

With the shareholder approval secured, the Rights Issue will move forward subject to remaining conditions, including the Stock Exchange’s approval for listing and dealings in both nil-paid and fully-paid rights shares, and the non-termination of the placing agreement. Key dates include: • Last day of cum-rights trading: 15 September 2026 • Ex-rights trading commencement: 16 September 2026 • Record date for entitlements: 24 September 2026 • Dispatch of prospectus documents: 25 September 2026

The Rights Issue will proceed on a non-underwritten basis, and shareholders who do not exercise their entitlements will face dilution proportional to the level of uptake and subsequent placing of any unsubscribed shares.

Separately, the Board reported a change in authorised representative. Effective 14 September 2026, Executive Director Ms Li Kai Lai Miranda has stepped down, and Executive Director Miss Tsang Karen Ka Yan has been appointed as the new authorised representative under Listing Rule 3.05.

Shareholders and potential investors are reminded that trading in the company’s shares and nil-paid rights shares carries the risk that the Rights Issue may not become unconditional if outstanding conditions are not met.
