Baijin Life Science issues AGM circular; seeks fresh share mandates and option scheme limit reset

Baijin Life Science Holdings Limited released its 2026 AGM circular on 21 August, detailing proposals to be tabled on 16 September 2026 in Hong Kong.

The board will ask shareholders to approve: • A 20% general mandate to issue up to 186.45 million new shares (based on the 932.25 million shares in issue at the latest practicable date). • A 10% share-repurchase mandate covering up to 93.23 million shares, plus an extension permitting re-issuance of any repurchased shares under the issue mandate.

The company also proposes to refresh the 2024 Share Option Scheme limit. The original 10% cap of 67.93 million shares has been fully utilised after a one-off grant on 24 April 2026, which included awards to directors and employees at an exercise price of HK$0.54. A new 10% limit—equal to 93.23 million shares—requires independent shareholders’ approval; executive and non-independent directors will abstain from voting.

Four directors—executive directors Mr Cheung Sze Ming, Mr Dong Peng and Dr Su Yaoyao, and independent non-executive director Ms Shen Ding—stand for re-election. The board also recommends re-appointing Baker Tilly Hong Kong Limited as auditor with an estimated FY2027 audit fee of HK$1.48–1.68 million.

Financial highlights disclosed in the circular show FY2026 revenue fell to HK$89.30 million from HK$135.56 million, while loss attributable to owners widened to HK$37.87 million from HK$0.32 million in FY2025.

The register of members will be closed from 11 to 16 September 2026, with the latter date set as the record date for AGM voting eligibility.
