Keep Inc. (HKEX: 03650) disclosed that it repurchased 149,200 ordinary shares on 15 September 2026 via on-market transactions, paying between HK$1.28 and HK$1.32 per share at a volume-weighted average price of HK$1.2992. The aggregate consideration was approximately HK$0.19 million, and the purchase equates to 0.03% of the company’s outstanding shares prior to the transaction.
Following the repurchase, Keep’s issued share capital (excluding treasury shares) fell to 496.43 million, while treasury shares increased to 13.85 million. The total number of issued shares remained unchanged at 510.28 million.
The latest buyback forms part of the repurchase mandate granted on 4 June 2026, which authorises the acquisition of up to 50.24 million shares. To date, Keep has repurchased 5.99 million shares under this mandate, representing 1.19% of the share count in issue at the mandate date.
In addition, 3.52 million shares acquired between January and April 2026—at prices ranging from HK$2.91 to HK$3.98—remain held for subsequent cancellation.
Pursuant to Hong Kong Listing Rule 10.06(3), Keep is subject to a moratorium on issuing new shares or disposing of treasury shares until 15 October 2026. The board confirmed that all repurchase activities complied with the Main Board Listing Rules and relevant regulatory requirements.
