REPUBLIC HC Proposes 20% Issuance and 10% Buy-back Mandates, Director Re-elections for 18 June 2026 AGM

Republic Healthcare Limited (REPUBLIC HC) has released its circular for the 18 June 2026 annual general meeting (AGM), detailing four key resolutions:

1. General Share Mandates • Issuance: Directors seek authority to allot and issue up to 124.80 million new shares, representing 20% of the 624.00 million shares outstanding on the latest practicable date (26 March 2026). • Repurchase: A parallel mandate would permit on-market buy-backs of up to 62.40 million shares, equivalent to 10% of current issued capital. • Extension: Conditional on both mandates passing, the issuance limit may be increased by the number of shares repurchased.

2. Board Composition • Independent non-executive directors (INEDs) Mr Yeo Teck Chuan and Mr Wong Yee Leong will retire by rotation and stand for re-election. • The nomination committee has confirmed both INEDs’ independence and satisfactory performance.

3. Auditor Appointment • Renewal of Baker Tilly TFW LLP as independent auditor, with remuneration to be set by the board, will be put to shareholders.

AGM Details • Date & Time: Thursday, 18 June 2026, 2:00 p.m. • Venue: 201 Henderson Road, #07-11/12 & #08-11/12, Apex @ Henderson, Singapore. • Record Date: 18 June 2026; share transfer registration closes 15–18 June 2026.

Shareholders are entitled to attend in person or vote by proxy; all resolutions will be decided by poll in line with GEM Listing Rules.
