Republic Healthcare Limited (Republic HC) announced that its indirect wholly owned subsidiary, Life Ark (Shenzhen) Technology Co., Ltd, and landlord 深圳市悅美創新科技發展有限公司 mutually agreed to terminate the lease for Level 11, China Merchants Qianhai International Center, Nanshan District, Shenzhen, effective 31 May 2026.

Regulatory status Under Chapter 19 of the GEM Listing Rules, the transaction qualifies as a discloseable transaction, as applicable percentage ratios exceed 5% but remain below 25%. Consequently, it requires public announcement but not shareholder approval.

Counterparty profile The landlord, ultimately 37% owned each by independent third parties 羅素珍 and 常曉, is not a connected person to Republic HC, satisfying Hong Kong GEM’s independence requirements.
