Venus Medtech Sets 30 Sep 2026 EGM to Seek Approval for Share and Convertible Bond Subscription

Venus Medtech (Hangzhou) Inc. has circulated a proxy form ahead of an extraordinary general meeting (EGM) scheduled for 10:00 a.m. on 30 September 2026 at Room 311, 3/F, Block 2, No. 88 Jiangling Road, Binjiang District, Hangzhou, PRC.

The single special resolution to be tabled requests shareholder approval for three linked actions:

1) Ratification of a proposed subscription agreement covering both new ordinary shares (“Subscription Shares”) and convertible bonds (“Convertible Bonds”) together with all associated transactions.

2) Granting a specific mandate authorising the board to allot and issue the Subscription Shares and any conversion shares arising from the Convertible Bonds, conditional on the Hong Kong Stock Exchange listing approval remaining in force.

3) Delegation of authority to any one director to execute all required documentation and take all steps necessary to complete the subscription, share allotment and bond conversion processes.

Shareholders of both H shares and unlisted foreign shares may appoint proxies; completed forms must be lodged at the company’s Hong Kong share registrar or at the company’s Hangzhou office no later than 24 hours before the meeting.
