Vitasoy International Lifts Outstanding Shares by 0.0016% After Option Exercise; 2.82 Million Shares Await Cancellation Post-Buybacks

Vitasoy International Holdings Limited disclosed on 15 September 2026 that an employee option exercise and a series of share repurchases have marginally altered its capital structure.

The company issued 16,000 new ordinary shares following the exercise of options granted under the 30 August 2022 share option scheme at HKD 6.352 per share. The move increased Vitasoy’s outstanding share count to 1,017.57 million, a dilution of just 0.0016%.

Separately, between 25 August and 15 September 2026 Vitasoy bought back 2.824 million shares on the Hong Kong Stock Exchange for cancellation, spending a total of HKD 18.09 million. The volume-weighted average repurchase price was approximately HKD 6.41 per share. The largest single-day purchase occurred on 11 September, when 564,000 shares were acquired at an average HKD 6.3644 each. The latest buyback on 15 September involved 36,000 shares at prices between HKD 6.46 and HKD 6.53, costing HKD 0.23 million.

All 2.824 million repurchased shares—equivalent to 0.28% of the company’s shares outstanding on the 24 August 2026 mandate date—remain to be cancelled. Following cancellation, the issued share capital would decrease to roughly 1.01475 billion shares.

The repurchases were executed under the general mandate approved by shareholders on 24 August 2026, which authorises buybacks of up to 101.76 million shares. Vitasoy has utilised about 0.28% of this limit to date. Under Hong Kong listing rules, the company is barred from issuing new shares for 30 days after the latest repurchase, setting a moratorium until 15 October 2026.

Management confirmed that all issuance and repurchase activities complied with Hong Kong Stock Exchange rules and relevant legal requirements.
