Ali Health Grants 7.67 Million RSUs to 16 Employees Under 2024 Share Award Scheme

Alibaba Health Information Technology Limited (Ali Health) announced the grant of 7.67 million restricted share units (RSUs) to 16 employees on 15 September 2026, in accordance with its 2024 Share Award Scheme. No directors or members of senior management are included in this batch of grantees.

The RSUs carry no purchase cost for employees and are referenced to the closing market price of HK$2.925 per share on the grant date. Each RSU represents the right to receive one ordinary share upon vesting.

Vesting is scheduled in tranches over four years from the grant date, except for one designated employee whose units vest subject to operational performance targets set by the board. All other RSUs vest primarily on time-based conditions. The scheme permits certain RSUs to vest within 12 months provided they either vest evenly over at least one year or are linked to performance targets.

A claw-back mechanism applies: unvested RSUs lapse automatically if the grantee’s employment is terminated for cause or if conduct detrimental to the group’s interests is established.

Settlement will be satisfied through newly issued shares or shares repurchased on-market and held in trust until vesting. Following this grant, 1.48 billion shares remain available for future awards under the overall scheme limit, while 160.92 million shares remain under the service provider sub-limit.

Management states the awards aim to attract and retain skilled personnel, recognise past contributions, and motivate employees to support Ali Health’s ongoing expansion and development.
