ZHAOWEI Trims H-Share Float by 0.38% via HKD 3.77 Million Buyback, Issues 10.7K A-Shares on Option Exercise

Shenzhen Zhaowei Machinery & Electronics Co., Ltd. (ZHAOWEI) disclosed simultaneous capital movements on 15 September 2026 involving its Hong Kong-listed H shares and Shenzhen-listed A shares.

H-share buyback • ZHAOWEI repurchased 101,200 H shares on the Hong Kong Stock Exchange at prices ranging between HKD 36.68 and HKD 37.80, representing a volume-weighted average of HKD 37.25 per share. • The transaction cost totalled HKD 3.77 million and the shares will be held as treasury stock. • Following the repurchase, outstanding H shares (excluding treasury) declined by 0.38% to 26.35 million, while treasury H shares increased to 400,100. • Since the 22 May 2026 authorisation, ZHAOWEI has repurchased 400,100 H shares, equal to 1.50% of the company’s issued share capital at the mandate date. The repurchase window restricts any new share issuance or treasury-share sale until 15 October 2026.

A-share option exercise • Separately, 10,700 new A shares were issued upon employee option exercises under the 2024 Share Option Scheme at RMB 42.04 per share. • The issuance expanded the A-share base by 0.004% to 241.14 million. • No A-share treasury stock is held.

Capital structure snapshot (post-transactions, 15 September 2026) • H shares: 26.35 million issued (excluding 0.40 million treasury); total H shares unchanged at 26.75 million. • A shares: 241.14 million issued; no A-share treasury.

The board confirms that all actions complied with Hong Kong Main Board Rule 13.25A and Rule 10.06, as well as domestic regulations for Shenzhen-listed securities.
