UBTECH Grants 3.62 Million H-Share Incentives to 409 Employees and Executives

UBTECH Robotics Corp Ltd (UBTECH) has approved the first award under its H-Share Incentive Scheme, granting a total of 3.62 million incentive units on 14 September 2026 to 409 participants. The award represents about 0.72% of UBTECH’s issued share capital and follows shareholder endorsement of the 10-year scheme on 26 August 2026.

Executive allocation • Chairman and CEO Zhou Jian received 400,000 incentives (0.0795% of shares outstanding). • Executive Directors Deng Feng, Liu Ming and Xiong Youjun were awarded 56,200, 3,500 and 1,200 incentives respectively. • In aggregate, the four executive directors obtained 460,900 units (0.09% of share capital), while 405 other employees were granted 3.16 million units (0.63%).

Pricing terms Each incentive entitles the grantee to purchase one H share at RMB1, the statutory minimum under PRC regulations. The Company’s H shares closed at HK$78.90 on the grant date.

Vesting framework • Up to 1.96 million shares may vest on 30 September 2026. • A further 1.00 million shares can vest 12 months after grant. • 0.54 million shares may vest 24 months after grant. • The remaining 0.12 million shares are eligible to vest 36 months after grant.

Performance linkage – 1.96 million incentives (including those to the four executive directors) vest upon the recipient achieving at least a “B” performance rating; with semi-annual reviews determining eligibility, the first vesting could occur as early as September 2026. – 1.64 million incentives combine time-based vesting (12–36 months) with performance hurdles, including a “B” rating and 2026 sales targets. – 24,466 incentives have only time-based conditions (12–24 months) and carry no performance target.

Clawback provisions enable the Board to cancel unvested awards in cases such as financial mis-statement, performance-metric inaccuracy, breach of grant terms, or regulatory requirements.

Capacity for further grants Post-award, 46.72 million H shares remain available under the scheme mandate for future incentives.

UBTECH’s Board, including independent non-executive directors, considers the grant aligned with the company’s objective to attract, motivate and retain key talent while fostering long-term value creation for shareholders.
