KPa-BM Holdings issues 2026 AGM notice: two director re-elections, auditor renewal and 20% share-issue mandate

KPa-BM Holdings Limited has released the proxy form for its Annual General Meeting scheduled for 10:00 a.m. on 14 August 2026 at 27/F, The Octagon, 6 Sha Tsui Road, Tsuen Wan, Hong Kong.

Key resolutions to be put to shareholders are as follows:

1. Financial statements • Receive and consider the audited financial statements, directors’ report and independent auditor’s report for the year ended 31 March 2026.

2. Board composition • Re-elect independent non-executive director Dr. Yeung Kit Ming. • Re-elect executive director Mr. Yip Pak Hung.

3. Remuneration • Authorise the board to determine directors’ remuneration.

4. Auditor • Re-appoint Beijing Xinghua Caplegend CPA Limited as external auditor and authorise the board to fix its remuneration.

5. Share mandates • General mandate to allot, issue and deal with additional shares not exceeding 20% of the company’s existing issued share capital. • Authorisation to repurchase up to 10% of issued shares. • Extension of the share-issue mandate by the number of shares repurchased under the buy-back mandate.

Shareholders who wish to vote by proxy must lodge the completed form with Tricor Investor Services Limited, 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong, at least 48 hours before the meeting. Completion and return of the proxy form will not preclude shareholders from attending and voting in person.
