CaoCao Repurchases 170,000 Shares, Marginally Issues 100 New Shares Under Pre-IPO Plan

On 15 September 2026, CaoCao Inc. executed a further share buyback and a minor option-related issuance, according to its Next Day Disclosure Return filed with the Hong Kong Stock Exchange.

The company repurchased 170,000 ordinary shares on-market at prices ranging from HKD 11.01 to HKD 11.40, for a total consideration of HKD 1.92 million. The volume-weighted average price was approximately HKD 11.31. All repurchased shares have been retained as treasury shares.

Following this transaction, treasury shares increased from 6.01 million to 6.18 million, while issued shares outstanding (excluding treasury shares) decreased to 580.17 million—representing a 0.029 percent reduction versus the previous day.

In parallel, 100 new ordinary shares were issued upon the exercise of options granted under the Pre-IPO Share Incentive Plan adopted in November 2022. The exercise price was RMB 1.692 per share, a negligible 0.00002 percent enlargement of the issued share base.

The total share count, including treasury shares, inched up by 100 shares to 586.35 million after the two events. Under the existing repurchase mandate approved on 8 June 2026, CaoCao is authorised to buy back up to 58.30 million shares; cumulative repurchases now stand at 5.52 million shares, equating to 0.95 percent of the share base at the mandate date. A 30-day moratorium on new share issues or treasury share sales remains in effect until 15 October 2026.

All transactions were executed in compliance with Hong Kong listing rules, and the company confirmed receipt of all proceeds related to the option exercise.
