XH News Media Sets 28 Sep 2026 AGM; Share Buyback and Issuance Mandates on Agenda

XH News Media will convene its Annual General Meeting (AGM) on 28 September 2026 at 4:00 p.m. in Hong Kong. Shareholders will vote on eight standard and strategic resolutions, including the adoption of the audited consolidated financial statements for the year ended 31 March 2026.

Key governance items include the proposed re-election of eight incumbent directors—among them Executive Directors Lin Shuang and Chan Frank Clifford Shui Ting Chu—and the appointment of five additional board members, such as Executive Directors Wang Xuesong and Yu Yonghui. The board is also seeking authority to set directors’ remuneration.

Shareholders will consider re-appointing CLA Prism Hong Kong Limited as the Company’s auditor for the coming financial year, with remuneration to be fixed by the board.

Two capital-management mandates are up for approval: 1. Share Repurchase: Directors may repurchase up to 10% of the Company’s issued share capital on the Hong Kong Stock Exchange during the authorised period ending at the next AGM or earlier if revoked. 2. Share Issuance: Directors may allot and issue new shares equal to as much as 20% of existing issued capital, with an additional extension of up to 10% corresponding to any shares bought back under the repurchase mandate.

The register of members will be closed from 23 September to 28 September 2026 (both days inclusive). Share transfers must be lodged by 4:30 p.m. on 22 September 2026 to qualify for AGM attendance and voting. Shareholders unable to attend in person may submit proxy forms no later than 48 hours before the meeting.
