Xiao Noodles Keeps Issued Share Base Flat at 710.69 Million; Cumulative Buybacks Reach 3.55 Million H-Shares under 2026 Mandate

Guangzhou Xiao Noodles Catering Management Co., Ltd. (H-shares, “Xiao Noodles”) reported no change in its issued share capital on 15 September 2026, maintaining 710.69 million ordinary H-shares outstanding.

The company is actively executing its share-repurchase programme:

• Current mandate usage – Shareholders approved a 71.07 million-share repurchase mandate on 25 June 2026 (10 % of shares then in issue). – Between 25 June and 15 September 2026, Xiao Noodles bought back 3.55 million shares on the Hong Kong Stock Exchange, equal to 0.50 % of the share count at the mandate date.

• Latest transaction – On 15 September 2026, the company repurchased 119,000 shares at prices ranging from HKD 3.90 to HKD 3.97, for a total consideration of HKD 0.47 million.

• Earlier repurchases pending cancellation – An additional 17.32 million shares, repurchased between 3 February and 24 June 2026 under a prior general mandate, remain uncancelled.

All repurchased shares are intended for cancellation, and no treasury shares are being held. In accordance with Hong Kong listing rules, Xiao Noodles is restricted from issuing new shares for 30 days following the latest buyback, ending 15 October 2026.

The board confirms that each buyback complied with applicable regulations and that all requisite filings and authorisations are in place.
