Jensen Huang's NVIDIA Shares Auto-Withheld for Tax, While CFO Cashes Out $7.65 Million

Five senior executives at NVIDIA, including Jensen Huang, had a combined total of 160,000 company shares withheld to cover tax liabilities. A Form 4 filing submitted to the U.S. Securities and Exchange Commission (SEC) on September 18 reveals that on September 16, Huang had 45,728 common shares withheld by the company, valued at approximately $9.7 million based on a per-share price of $212.17. The filing clarifies that these shares were retained by NVIDIA to satisfy Huang's tax obligations arising from the vesting of restricted stock units (RSUs) and did not constitute a sale on the open market.

Alongside Huang, NVIDIA Chief Financial Officer Colette Kress, Chief Operating Officer Debora Shoquist, General Counsel and Secretary Timothy Teter, and Chief Accounting Officer Scott Gawel also underwent similar share withholding on September 16, with their respective amounts being 40,747 shares, 35,008 shares, 35,738 shares, and 2,932 shares. However, unlike the other four executives, Kress executed an actual sale on the open market the following day, September 17. According to SEC documents, Kress sold a total of 34,918 shares in three separate transactions on that date, executed under a Rule 10b5-1 trading plan established on June 16, 2026, with the combined transaction value reaching roughly $7.649 million.

The filing also disclosed a share transfer of a different nature. On September 17, the Jen-Hsun & Lori Huang Living Trust, held by Huang and his wife, transferred 438,000 NVIDIA shares without consideration, of which 292,000 shares were donated to The Jen-Hsun & Lori Huang Foundation, while the remaining 146,000 shares were moved into a donor-advised fund. On the 18th, NVIDIA (Nasdaq: NVDA) shares closed up 1.34% at $222.27 per share, bringing the company's total market capitalization to $5.36 trillion.

Recently, Huang has been actively vocal on the topic of AI safety. In a fresh interview released by CBS News, Huang once again dismissed predictions that AI will bring about catastrophe, describing such claims as fueling unnecessary panic. He stated that the probability of AI leading to the end of the world by 2030 is "0%".
