CoreWeave said its private offering of $3.7 billion in convertible senior notes priced, up from a previously announced offering of $3 billion in notes.
The company said Friday the upsized offering is for 2.875% convertible senior notes due in 2033. The issuance and sale of the notes are scheduled to settle on Sept. 22, the company said.
CoreWeave also granted the initial purchasers of the notes an option to purchase up to an additional $500 million in notes.
The notes will accrue interest payable semiannually in cash, beginning April 1, 2027, at a rate of 2.875% per year. The notes will mature on April 1, 2033, unless earlier repurchased, redeemed or converted, the company said.
